1. Overview & Acceptance
Welcome to MusicYaa ("Platform", "we", "us", or "our"), a service operated by Castaneda Networks LLC, a California limited liability company. These Terms and Conditions ("Terms") govern your use of our website, mobile applications, and services (collectively, the "Services").
By accessing or using our Services, creating an account, or making a booking, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Services.
We may modify these Terms. Material changes will be communicated via email or through the Platform with at least 14 days' notice. Continued use after the effective date constitutes acceptance.
Important Notice
Sections 7 (Cancellation), 9 (Disputes), 10 (Binding Arbitration & Class Action Waiver), and 11 (Limitation of Liability) contain important rights, obligations, and limitations. Read them carefully.
2. Definitions
- "Client" or "User": Any individual or entity that creates an account and uses the Platform to book services from Artists or Vendors.
- "Artist": Musicians, bands, performers, and entertainment providers who offer their services through the Platform.
- "Vendor": Service providers including photographers, videographers, caterers, DJs, bartenders, and other event service professionals.
- "Provider": An Artist or Vendor, used interchangeably where the rules apply to both.
- "Booking": A confirmed reservation of services from a Provider made through the Platform.
- "Booking Value": The total agreed price for the services, including deposit, balance, and any travel fees locked at confirmation, but excluding tips and gratuities.
- "Deposit": The initial payment required to confirm a Booking, typically 25% to 50% of the Booking Value as set by the Provider.
- "Event Date": The scheduled date on which the booked services are to be performed.
- "Booking Guarantee": The MusicYaa Booking Guarantee described in Section 7.4 and at musicyaa.com/guarantee.
3. User Accounts
3.1 Account Registration
To use certain features, you must create an account. You agree to provide accurate, current, and complete information.
3.2 Account Security
You are responsible for the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@musicyaa.com of any unauthorized use.
3.3 Eligibility
You must be at least 18 years old to create an account. By creating an account, you represent that you meet this requirement.
3.4 Account Termination
We may suspend or terminate accounts for violations of these Terms, including fraudulent activity, repeated cancellations, harassment, or off-platform booking attempts that disintermediate Providers from the Platform.
4. User Content & Intellectual Property
4.1 Ownership of Your Content
You retain ownership of all content you upload, post, or otherwise make available through the Platform ("User Content"), including photos, videos, audio, profile information, reviews, and messages.
4.2 License to MusicYaa
By submitting User Content, you grant MusicYaa a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify (for technical purposes), display, distribute, and publish your User Content on the Platform and in connection with promoting the Platform. This license ends when you remove the content, except for content shared with users who have not deleted it, content retained in backups, or content retained as required by law.
4.3 Your Warranties
You represent and warrant that: (a) you own or have the rights necessary to submit the content and grant the license above; (b) the content does not infringe any third-party rights; (c) the content complies with applicable law and these Terms.
4.4 Prohibited Content
You agree not to upload User Content that is unlawful, defamatory, obscene, harassing, threatening, discriminatory, infringing, privacy-violating, contains malware, or constitutes spam or unauthorized solicitation.
4.5 Removal
You may remove your User Content at any time. We may remove content we reasonably believe violates these Terms, applicable law, or our community standards, without prior notice.
4.6 MusicYaa Platform Content
The MusicYaa name, logo, trademarks, design, interface, compiled directories, marketing copy, and other materials we create are the intellectual property of Castaneda Networks LLC and are protected under U.S. and international law. You may not copy, reproduce, modify, distribute, or create derivative works without our prior written permission.
4.7 Copyright Claims
See Section 16 for DMCA notice procedures.
5. Booking Services
5.1 Booking Process
When you submit a booking request, your payment method is authorized for the Deposit. The Booking is not confirmed until the Provider accepts. On acceptance, the Deposit is charged.
5.2 Booking Confirmation
A Booking is confirmed when (a) the Provider accepts and (b) the Deposit is successfully processed. You will receive a confirmation email.
5.3 Travel Fees Locked at Confirmation
Travel fees included in the original quote and confirmed by the Provider are part of the Booking Value and may not be increased after confirmation, except by mutual written agreement through the Platform messaging system.
5.4 Client Obligations
- Provide accurate event details: date, time, full address, headcount, and contact information.
- Ensure the venue is accessible and suitable for the booked services.
- Communicate special requirements or changes through the Platform.
- Pay the remaining balance per the schedule in Section 6.
5.5 Provider Obligations
- Honor confirmed Bookings.
- Arrive at the agreed time, with the agreed equipment, for the agreed duration.
- Communicate any issues immediately through the Platform.
- Conduct business with all Clients found through the Platform exclusively through the Platform's payment system.
5.6 Off-Platform Transactions
Providers and Clients agree that any transaction originating from a Platform connection must be processed through the Platform's payment system. Off-platform transactions resulting from a Platform-initiated connection are a material breach of these Terms and may result in account termination, forfeiture of any pending payouts, and the loss of Booking Guarantee coverage for the Client.
6. Payment Terms
Payment Summary
- • Deposit: Due at Booking confirmation (25% to 50% of Booking Value, set by Provider)
- • Remaining Balance: Due 24 hours before Event Date
- • Accepted Methods: Credit and debit cards via Stripe
6.1 Deposit Payment
The Deposit amount is set by each Provider. Your payment method is authorized at request submission and charged when the Provider confirms.
6.2 Remaining Balance
The remaining balance is due no later than 24 hours before the Event Date. Reminders are sent by email. Failure to pay the balance on time may result in cancellation of the Booking and forfeiture of the Deposit.
6.3 Authorization Hold
When you submit a Booking, we authorize but do not immediately charge your payment method. The hold may appear as pending on your statement. If the Provider declines, the authorization is released and no charge is made.
6.4 Booking Fee
A non-refundable booking fee of $25 is included in your Deposit. This fee covers Platform processing and is retained by MusicYaa even if the Booking is canceled by the Client and is otherwise eligible for a refund.
6.5 Currency
All transactions are in U.S. Dollars unless otherwise specified.
7. Cancellation, Refunds & Booking Guarantee
7.1 Client Cancellation Before Provider Confirmation
If you cancel before the Provider confirms, the authorization is released and no charges apply.
7.2 Client Cancellation After Confirmation
If you cancel after confirmation, refunds follow the schedule in Section 7.3. All cancellations must be made through the in-app cancellation flow OR by email from your registered account address to support@musicyaa.com. Effective time is the Platform-recorded timestamp of receipt.
7.3 Client Cancellation Refund Schedule

7.4 Provider Cancellation: The MusicYaa Booking Guarantee
You are protected.
If a Provider cancels a confirmed Booking, MusicYaa will either find a comparable replacement at our cost OR issue a full refund of all Platform-collected amounts plus a $200 credit toward a future Booking. Full policy details at musicyaa.com/guarantee.
7.4.1 What the Guarantee Covers
Coverage applies to any confirmed Booking where the Client paid through the Platform. Triggers include Provider cancellation for any reason (illness, double-booking, equipment failure, transportation issues) and Provider no-shows on the Event Date, provided the Client notifies MusicYaa within 4 hours of the scheduled start time on the Event Date.
7.4.2 The Replacement Promise
When a Provider cancels, MusicYaa identifies and books a comparable replacement in the same genre or service category, in the same metropolitan area, with confirmed availability for the original Event Date. The Client pays no more than the originally agreed Booking Value, even if the replacement's standard rate is higher.
7.4.3 Coverage Limit
MusicYaa will absorb up to $500 of price difference between the original Booking Value and the replacement's rate. If no comparable replacement is available within this limit, the Client receives a full refund of all Platform-collected amounts plus a $200 credit toward a future Booking.
7.4.4 Limitations
The Guarantee does not cover:
- (a) tips and gratuities outside the Booking Value;
- (b) travel fees or other charges added after the original Booking confirmation, except as provided in Section 5.3;
- (c) Bookings where the Deposit was paid outside the Platform;
- (d) cancellations initiated by the Client (governed by Sections 7.1 to 7.3);
- (e) cancellations resulting from the Client's material misrepresentation of the event address, date, time, headcount, genre, or other material details that would reasonably affect the Provider's ability to perform.
For purposes of subsection (e), "material" means a discrepancy that, if known at the time of Booking, would reasonably have caused the Provider to decline the Booking, charge a different rate, or quote different travel fees. Disputes over materiality are resolved by MusicYaa in good faith, with the Client retaining the right to escalate per Section 9.
7.4.5 Provider Cancellation Penalties
When a Provider cancels a confirmed Booking, the Client receives the full Booking Guarantee. The Provider receives no payout for the canceled Booking and is subject to the following penalties, calculated as a percentage of Booking Value with floors and caps:

Penalties are deducted from the Provider's MusicYaa payout balance. If the balance is insufficient, the unpaid amount is recovered from future payouts before any new earnings are released. If recovery from future payouts cannot be completed within 90 days of the cancellation, MusicYaa may charge the Provider's payment method on file or pursue collection through other lawful means.
Suspension means the Provider may not accept new Bookings during the suspension period. Existing confirmed Bookings remain in effect and subject to these Terms.
7.4.6 Pattern of Cancellation
A Provider with three (3) or more Guarantee-triggering cancellations within any rolling 90-day period, or five (5) or more within any rolling 12-month period, is subject to mandatory account review and may be permanently removed from the Platform regardless of whether individual cancellations were excused under Section 7.4.7.
7.4.7 Documented Emergencies
Penalties and suspensions may be waived in cases of (a) documented medical emergency affecting the Provider or an immediate family member, (b) family bereavement, or (c) government-declared emergency affecting the Provider's ability to perform. Documentation must be submitted to MusicYaa within 14 days of the cancellation. Excused cancellations still count toward the pattern review threshold in Section 7.4.6, but may be re-examined for removal if the pattern indicates abuse of the emergency provision. The Client's Booking Guarantee is not affected by emergency waivers; the Client is made whole regardless.
7.5 No-Show Policy
If the Client fails to appear at the scheduled event or denies access to the Provider without prior notice, this is treated as a cancellation made less than 48 hours before the event under Section 7.3, and no refunds are provided.
If the Provider fails to appear at the scheduled event without prior notice, the Booking Guarantee applies as described in Section 7.4.1.
8. Rescheduling
8.1 Rescheduling Requests
- Requests must be made at least 48 hours before the original Event Date.
- Rescheduling is subject to Provider availability.
- The new event date must be within 12 months of the original Event Date.
- One free reschedule is allowed per Booking; additional changes incur a $50 administrative fee.
8.2 How to Reschedule
Use the in-app rescheduling flow OR email support@musicyaa.com from your registered account. Include your Booking reference number and preferred new dates.
9. Dispute Resolution
9.1 Informal Resolution First
If you have a dispute regarding services received or any Booking-related issue, contact support@musicyaa.com within 7 days of the Event Date. We will attempt in good faith to resolve the dispute informally within 30 days. Both parties agree to attempt informal resolution before initiating formal proceedings under Section 10.
9.2 Service Quality Disputes
If a Provider performed materially below the agreed scope (significantly shortened set, wrong genre, equipment failure causing partial performance), the Client may submit a quality dispute within 7 days of the Event Date with supporting evidence (video, photos, witness statements). MusicYaa will review and may issue partial refunds at our discretion, with funds drawn from the Provider's payout if the dispute is upheld.
9.3 Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to Section 10, exclusive venue for any non-arbitrable claim is Los Angeles County, California.
10. Binding Arbitration & Class Action Waiver
Please read this Section carefully.
It affects your legal rights.
10.1 Agreement to Arbitrate
You and MusicYaa agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as set forth below. The Federal Arbitration Act governs the interpretation and enforcement of this Section.
10.2 Exceptions
This Section does not apply to: (a) claims for injunctive or equitable relief related to intellectual property infringement; (b) small-claims court actions, provided the claim qualifies and remains in small-claims court; (c) claims that may not be arbitrated as a matter of applicable law.
10.3 Class Action Waiver
YOU AND MUSICYAA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of multiple parties or preside over any class or representative proceeding.
10.4 Arbitration Procedure
Arbitration will be conducted in Los Angeles County, California, or by video or telephone where permitted by AAA rules. The arbitrator's decision is final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
10.5 Arbitration Fees
For Disputes where the claimed amount is less than $10,000, MusicYaa will pay all AAA filing, administrative, and arbitrator fees. For larger Disputes, fees are allocated per AAA rules.
10.6 30-Day Opt-Out
You may opt out of this arbitration agreement by emailing arbitration-optout@musicyaa.com within 30 days of first accepting these Terms. Your email must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.
10.7 Severability of Class Action Waiver
If the class action waiver in Section 10.3 is found unenforceable as to a particular claim, that claim must be litigated in court, but the remainder of this Section continues to apply to all other claims.
11. Limitation of Liability
11.1 Platform Role
MusicYaa is a marketplace connecting Clients with Providers. We are not a party to the service agreement between Client and Provider. We do not control the quality, timing, or legality of services rendered by Providers, except as expressly stated in the Booking Guarantee.
11.2 Disclaimer of Warranties
Except as expressly stated, the Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11.3 Limitation
To the maximum extent permitted by law, MusicYaa shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, use, or goodwill, even if advised of the possibility.
11.4 Maximum Liability
MusicYaa's total aggregate liability for any claim arising from your use of the Services shall not exceed the greater of (a) $500, or (b) the total fees paid by you to MusicYaa in the twelve (12) months preceding the event giving rise to the claim. The Booking Guarantee operates within and not in addition to this cap.
11.5 Carve-Out
Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent any limitation in this Section is held unenforceable, the limitation will apply to the maximum extent permitted by applicable law.
12. Force Majeure
Neither party is liable for failure or delay in performance caused by circumstances beyond reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, civil disturbance, government action, labor disputes, internet or utility outages, or third-party service provider failures (including Stripe, AWS, or other infrastructure providers MusicYaa relies on). The Booking Guarantee remains subject to MusicYaa's ability to operate; in the event a force majeure prevents MusicYaa from facilitating a replacement, the Client receives a full refund of Platform-collected amounts in lieu of the replacement promise.
13. Severability & General Provisions
13.1 Severability
If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable, preserving the original intent.
13.2 Entire Agreement
These Terms, together with the Privacy Policy and any additional terms agreed at the time of a specific Booking, constitute the entire agreement between you and MusicYaa.
13.3 No Waiver
Failure to enforce any provision is not a waiver of that provision or any other.
13.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
13.5 Notices
Notices to MusicYaa must be sent to support@musicyaa.com. Notices to you may be sent to the email on your account or posted within the Platform.
13.6 Headings
Section headings are for convenience only and do not affect interpretation.
14. Privacy & Data
Our collection and use of personal information is described in our Privacy Policy. By using the Services, you consent to our collection and use of data as described therein.
We retain records of Booking agreements, payment transactions, and communications for legal, accounting, and business purposes. Your acceptance of these Terms (including timestamp and IP address) is recorded for verification.
15. California-Specific Disclosures
15.1 Consumer Notice (Cal. Civ. Code § 1789.3)
Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Boulevard, Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
15.2 California Privacy Rights
California residents have specific rights regarding their personal information under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), including the right to know, delete, correct, and opt out of the sale or sharing of personal information. See our Privacy Policy for details on exercising these rights.
15.3 Shine the Light
California residents may request information about disclosures of personal information to third parties for direct marketing purposes by emailing privacy@musicyaa.com.
16. DMCA Agent & Copyright Claims
MusicYaa complies with the Digital Millennium Copyright Act (DMCA). If you believe content on the Platform infringes your copyright, send a notice to our designated DMCA agent containing:
- A description of the copyrighted work claimed to be infringed;
- The location of the allegedly infringing material on the Platform (URL or specific reference);
- Your contact information (name, address, telephone, email);
- A statement that you have a good-faith belief the use is not authorized;
- A statement under penalty of perjury that the information is accurate and that you are the rights holder or authorized to act on their behalf;
- Your physical or electronic signature.
